TERMS OF USE AGREEMENT
This Terms of Use Agreement (“Agreement”) is a legally binding document between DECO STUDIO LLC (“DECO”) and the client, whether personally, or on behalf of an entity (“Client”). The use of DECO’s website: www.decostudio.us (“Website”) and any related media forms constitutes acceptance of the terms outlined below. Failure to comply with these terms results in the prohibition of the Client's Website use, and the relationship between DECO and the Client will cease, except for any outstanding payment obligations.
1. Intellectual Property Rights
The Website, including content, source code, and trademarks (“Content” and “Marks”), is the property of Nomad and is protected by intellectual property laws. No part of the Website or Content may be used for commercial purposes without Nomad’s express written permission.
2. Ownership of Materials
All design and original source files created for the Client (“Projects”) belong to the Client. If any legal operation would transfer ownership to DECO, DECO assigns its entire interest in the Project back to the Client. Client warrants ownership of materials provided to Nomad and agrees that DECO may share the Client’s design work publicly unless otherwise agreed upon.
3. Third-Party Fonts
If a Project incorporates Third-Party Fonts requiring a commercial license, DECO will notify the Client, who is responsible for obtaining the necessary licenses.
4. User Responsibilities
Client represents having the legal capacity to comply with these terms, being of legal age, and agreeing not to use the Website for illegal purposes. DECO explicitly refrains from creating mature content or content that violates religious and moral beliefs.
5. Prohibited Activities
Client agrees not to use the Website for unauthorized purposes and refrain from engaging in specified prohibited activities.
6. Client Feedback
Submissions by the Client become DECO’s property. DECO may use and disseminate Submissions without acknowledgement or compensation to the Client.
7. Management and Over site
DECO reserves the right to monitor the Website, take legal action for violations, and restrict or deny access at its discretion.
8. Privacy Policy
By using the Website, Client agrees to be bound and abide by the Privacy Policy and the terms more particularly set forth therein and adopted and incorporated herein. The Website is hosted in the United States of America. Access of the Website from the EU, Asia or other region of the world may result in the applicability of laws, statutes or regulations differing from those of the United States which govern personal data collection, use or disclosure. Client’s continued use of the Website and transfer of data to the United States constitutes express consent of Client to the transfer and processing of data in the United States. DECO does not knowingly accept or solicit information from individuals under the age of 18. In accordance with the United States’ Children’s Online Privacy Protection Act, upon the receipt of actual knowledge that an individual under the age of 13 has provided personally identifiable information to DECO without parental consent, DECO shall delete that information as soon as reasonably practical.
9. Returns and Refunds
Refunds are at DECO’s discretion. Refund requests during the first month grand ownership of produced materials to Nomad. A 25% fee is applied to the remaining billable period for appropriate refunds. DECO reserves the right to take appropriate legal actions against Client for breach of this paragraph.
10. Modification
DECO may change, modify, or remove Website content at its sole discretion without notice.
11. Connection Interruptions
DECO does not guarantee continuous Website availability and is not liable for interruptions beyond its control.
12. Governing Law
These Terms and Conditions are governed by the laws of the State of Tennessee
13. Litigation
Legal actions shall be brought in Carter County, Tennessee. Parties consent to personal jurisdiction in said courts.
14. Disclaimer
The Website is provided as-is. DECO disclaims all warranties and assumes no liability for errors, inaccuracies, or third-party products or services.
15. Limitations of Liability and Indemnification
DECO and its associates are not liable for damages arising from Website use. Client agrees to indemnify DECO against claims resulting from Website use.
16. User Data
Client is responsible for data transmitted to or related to Website activity. DECO is not liable for data loss or corruption.
17. Electronic Communications, Transactions, and Signatures
Client consents to electronic communications and signatures.
18. Showcasing Design Work
DECO reserves the right to share design work publicly unless an NDA is issued between DECO and the Client.
19. Referrals
Referrals are handled through a third-party partner, Rewardful.com
20. Mature Content
DECO affirms its commitment to avoiding the creation of mature content or content conflicting with its religious and moral beliefs.
21. Miscellaneous
These terms constitute the entire agreement between the Client and DECO. Failure to enforce any right does not waive that right.
